By accessing or using our services, you agree to be bound by these Terms of Service. These terms govern all contracts and agreements between Dhuzz Electric Nigeria Ltd. and its clients.
1. Payments
All contract prices shall be paid in USD (United States Dollars).
Payment Structure: To be determined (TBD) based on individual project requirements.
Offer Validity: To be determined (TBD) and specified in each contract.
2. Contract Coming into Force
The contract shall come into force upon fulfillment of the following conditions:
- Signature of the Contract by both Parties
- Receipt by Dhuzz Electric Nigeria Ltd. of the down payment
- Payment terms are secured
- The scope of works and all technical specifications necessary to start the design are defined and approved by the Client
If conditions are not fulfilled within 30 working days after signature, either Party may treat the Contract as ended, subject to renegotiation. If no agreement is reached within a further 30 working days, the Contract shall be considered null and void with no Party liable to the other.
3. Supply Delivery
Delivery terms are determined based on Incoterms 2010. Risks shall pass to the Client upon the applicable Incoterms.
The Title of Equipment shall be transferred to the Client upon receipt of full payment.
4. Delivery and Acceptance
Delivery shall be completed when equipment has been made available to the Client in Dhuzz Electric Nigeria Ltd facilities, warehouses, or in the facilities of Dhuzz Electric suppliers or subcontractors.
Acceptance: If equipment is erected or installed by Dhuzz Electric, the Client shall carry out acceptance and issue an acceptance certificate. Acceptance is deemed complete at the first of the following:
- The day of first utilization by the Client
- One month after commissioning if Client has not carried out acceptance
- 15 days after notice to carry out acceptance in Dhuzz Electric plants
5. Change Orders
Changes may be initiated by either the Client (Request for Quotation - RFQ) or Dhuzz Electric (Request for Change - RFC). Dhuzz Electric is not required to make any change unless both parties agree on the consequences in terms of price and/or schedule.
The Client shall pay Dhuzz Electric reasonable and documented costs for preparing quotations if the change is not ordered.
Unless otherwise mentioned, the validity period of any RFC shall be ten (10) working days.
6. Obligations of Dhuzz Electric Nigeria Ltd.
Dhuzz Electric shall utilize best efforts, employing best engineering practices and high ethical standards in ensuring technical integrity and reliability of the Works during engineering, installation, and commissioning.
If physical obstructions are encountered during installation, Dhuzz Electric is entitled to recover additional costs (unless due to fault of Dhuzz Electric or subcontractors). The Client shall respond within 8 days after receiving notification of additional costs.
Time schedules for installation, testing, and commissioning shall be agreed upon within 15 days after the Effective Date of the Contract.
7. Suspension During Execution
The Client may suspend contract performance at any time by giving Dhuzz Electric three (3) months prior notice.
In case of suspension, reasonable charges and expenses (including handling, storage, insurance, labor costs, financial costs, and travel expenses) shall be borne by the Client.
If suspension lasts more than 30 days, Dhuzz Electric is entitled to terminate the Contract and shall be indemnified as per the termination clause.
8. Taking Over
Works shall be taken over when completed in accordance with the Contract and have passed Tests on Completion.
The Client shall, within 14 days of receiving Dhuzz Electric's application, either issue the Taking-Over Certificate or reject the application with reasons. Failure to respond within 14 days constitutes deemed issuance of the certificate.
If the Client uses any part of the Works before taking over (outside testing activities), that part is deemed taken over at the date of use.
9. Transfer of Risk and Title
Risk Transfer: Risk remains with Dhuzz Electric until the Take Over Certificate is issued. From delivery, the Client assumes all risks relating to possession, custodianship, and use of equipment per applicable Incoterms.
Title Transfer: Dhuzz Electric retains ownership of equipment until full payment of the entire price (principal amounts and incidentals) is received.
10. Warranty
Dhuzz Electric undertakes to remedy any defect resulting from faulty design, bad material, or poor workmanship for a period of twelve (12) months from delivery date but not later than eighteen (18) months after the date of manufacturing.
The Client must notify Dhuzz Electric in writing without delay of any defect. Upon receipt, Dhuzz Electric shall repair, modify, or replace the defective part at its option.
Warranty does NOT cover:
- Defects from improper operation
- Force majeure events (fire, floods, etc.)
- Alterations/modifications without Dhuzz Electric's written consent
- Normal wear and tear
- Equipment/materials supplied by the Client
- Design imposed by the Client
IMPORTANT: The warranty is void if equipment is not installed by Trained Dhuzz Electric Personnel or any recommended Trained partner by the Original Equipment Manufacturer (OEM).
11. Liability
Dhuzz Electric shall not be responsible for any indirect, incidental, or consequential damages whatsoever, including but not limited to loss of profits or revenue.
Liability Limitation: In all cases, Dhuzz Electric's liability is strictly limited to the total amount of the Contract.
12. Liquidated Damages
If Dhuzz Electric fails to complete works within the completion period or any granted extension, the Client shall notify Dhuzz Electric in writing with documentary evidence within 7 working days.
Upon confirmation, Dhuzz Electric becomes liable to pay 0.5% of the delayed works value for each week of delay, up to a maximum of 5% of the total value of the delayed works. This shall be in full compensation for damages suffered by the Client.
13. Confidentiality and Intellectual Property
All information exchanged between Parties shall be considered strictly confidential and exclusively reserved for contract performance.
Dhuzz Electric is not bound to provide manufacturing and product-implementation plans. All designs, documents, and codes remain Dhuzz Electric's sole property.
Technology, know-how, and all industrial/intellectual property rights related to products remain exclusive property of Dhuzz Electric. The Client must not communicate this information to third parties and shall only use it for operating and maintenance requirements.
Any right to manufacture spare parts is excluded. The Client must not copy, reproduce, decompile, reverse engineer, or disassemble any Program or Dhuzz Electric technology.
14. Force Majeure
If any Party is prevented from performing obligations due to circumstances beyond its control (labor conflicts, stoppage of operation, delay of materials, change of legislation, governmental prohibition, currency restrictions, natural phenomena, transport issues, war, rebellion, riots, blockade, etc.), contract obligations shall be suspended.
If the hindrance exceeds six (6) months, either Party may terminate the Contract by giving 30 days written notice.
15. Termination
Dhuzz Electric may unilaterally terminate the Contract in the following cases:
- 15 days after sending formal notice of Client breach left unremedied
- Immediate effect in event of court-ordered dissolution or liquidation
- Force majeure consequences lasting more than 6 weeks
- Maximum penalty amount reached due to delivery time overrun
- Suspension lasting more than 30 days
Upon termination, the Client shall pay for goods in transit, delivered equipment, and costs of materials/services reasonably ordered for contract performance.
16. Anti-Corruption Undertakings
The Client warrants that neither it nor anyone on its behalf has made or will make any payment, gift, promise, or advantage to any public official for purposes of:
- Influencing any act or decision of such official
- Inducing such official to violate lawful duties
- Securing any improper advantage
- Inducing such official to use influence inappropriately
The Client must notify Dhuzz Electric promptly of any investigation or legal proceeding relating to alleged anti-corruption law violations. Non-compliance gives Dhuzz Electric the right to suspend and/or terminate the Agreement immediately.
17. Governing Law
This Agreement and all rights and obligations hereunder shall be governed by the laws of the Federal Republic of Nigeria.
18. Dispute Resolution
Parties shall use best endeavours to negotiate an amicable resolution of any dispute.
If unable to resolve, either party shall refer the dispute to Arbitration for determination by a Sole Arbitrator in accordance with the Arbitration and Conciliation Act 1998, CAP A18 Laws of the Federal Republic of Nigeria 2004.
Arbitration Details:
- Arbitrator must be a Fellow of The Chartered Institute of Arbitrators (United Kingdom)
- Seat of arbitration: Lagos, Nigeria
- Language: English
- Award shall be final and binding
Any aggrieved party reserves the right to seek interim preservatory reliefs from a court of law prior to or pending arbitration.
